These Terms of Service ("Terms") govern your access to and use of the Cellar Collective website at cellarcollectiveco.com and any related services (collectively, the "Service"). Age Requirement

You must be at least 21 years of age to use this website, create an account, or place an order. By using the Service, you represent and warrant that you are 21 years of age or older. We reserve the right to request proof of age at any time and to cancel any order or account if we have reason to believe the user is under 21. An adult aged 21 or older must be present with valid photo identification to accept delivery of all orders.

How Our Wine Upgrade Model Works

Cellar Collective operates a wine upgrade experience. When you purchase an offer, you pay a fixed entry price per bottle. Each bottle you receive is randomly assigned from a curated wine pool and is guaranteed to have a retail value at or above the entry price you paid. The specific bottle assigned to your order is determined at the time of fulfillment and may be any wine listed in the offer's wine pool. Past upgrade outcomes are not indicative of future results; each order is an independent random assignment from the current pool.

Pricing and Payment

All prices are displayed in U.S. dollars. The entry price per bottle, applicable shipping charges, and any taxes are shown before you complete checkout. By submitting your order, you authorize us to charge the total amount to your chosen payment method. Prices are subject to change without notice, but changes will not affect orders that have already been placed and confirmed.

Product Descriptions and Accuracy

We make every effort to accurately describe the wines in each offer pool, including the origin, varietal, vintage, and estimated retail value. However, wine is a natural product subject to variation, and minor differences may exist between bottles. Retail values are based on publicly available pricing data, winery suggested retail prices, and market comparisons at the time the offer is published. These values are estimates and may fluctuate over time.

Availability

All offers are subject to availability. Wine pools contain a limited number of bottles, and once an offer sells out, it will no longer be available for purchase. We reserve the right to limit quantities per customer and to discontinue any offer at any time.

Limitation of Liability

To the fullest extent permitted by law, Cellar Collective shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service or your purchase of any products through the Service. Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid for the specific order giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Cellar Collective, its officers, directors, employees, and agents from any claims, losses, or damages (including reasonable attorneys' fees) arising from your breach of these Terms or your use of the Service.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved in the state or federal courts located in New York.
